For Schools Using the EduFokam School Management Platform

These Terms and Conditions ("Terms") govern the access to and use of the EduFokam school management platform and related services (collectively, the "Service").

By registering for an EduFokam account, accessing the Service, or using the Service on behalf of a School, you acknowledge that you have read, understood, and agreed to be bound by these Terms and the EduFokam Privacy Policy.

If you are accepting these Terms on behalf of a School, you confirm that you have the legal authority to bind that School to these Terms. If you do not have such authority, you must not accept these Terms on behalf of the School.

If you do not agree to these Terms, you should not register for, access, or use the Service.

About These Terms

These Terms establish the rights and responsibilities of EduFokam and the Schools that use the Service. They cover matters including access to the Service, user accounts, subscriptions and fees, acceptable use, School Data, intellectual property, suspension and termination, liability, dispute resolution, and other matters relating to the use of the Service.

The EduFokam Privacy Policy explains how information handled through the Service is collected, used, stored, protected, retained, and otherwise processed.

1. Definitions

For the purposes of these Terms and Conditions, unless the context otherwise requires, the following terms shall have the meanings set out below:

1.1 “Account” means a user account created within a School’s designated account or tenancy on the EduFokam Service, including accounts assigned to a Developer, Principal, Teacher, Student, Guardian, or Team Member.

1.2 “School Data” means all data and information that a School or its authorized Users input into, upload to, or generate through the Service, including student records, attendance records, marks, homework, messages, photographs, and uploaded files.

1.3 “User” means any individual authorized by a School to access or use the Service through the School’s Account, including a Principal, Teacher, Student, Guardian, or authorized staff member.

1.4 “Developer Account” means an EduFokam-controlled administrative account with the permissions necessary to operate, maintain, secure, and support the Service, including functions relating to the administration of School accounts.

1.5 “Subscription Token” means an activation code or other authorization issued by EduFokam to a School following confirmation of the School’s subscription, which enables the School to access the paid features of the Service in accordance with these Terms.

1.6 “Service” means the EduFokam school management platform, including the website, applications, software, features, tools, and related services made available by EduFokam to Schools and their authorized Users.

1.7 “School” means the school, academy, educational institution, or other organization that registers for, subscribes to, or uses the Service.

1.8 “EduFokam”, “we”, “us”, or “our” means the EduFokam entity identified in these Terms as the provider of the Service.

1.9 “Terms” or “Terms and Conditions” means these EduFokam Terms and Conditions, together with any documents expressly incorporated into them by reference.

1.10 “Principal” means the person authorized by a School to administer the School’s use of the Service and to perform the administrative functions assigned to the Principal role.

1.11 “Team Member” means an individual authorized to perform designated administrative, operational, or support functions within a School’s use of the Service.

1.12 “Third-Party Service Provider” means an external service provider used by EduFokam in connection with the operation, hosting, maintenance, security, communication, payment verification, or other functionality of the Service.

2. The Service

2.1 EduFokam is a multi-tenant, subscription-based school management platform that provides Schools and their authorized Users with tools and services for managing various academic and administrative activities.

2.2 The Service may include, among other features:

  1. self-service School registration and a time-limited free trial;
  2. attendance recording and reporting;
  3. marksheet, grading, and end-of-year promotion tools;
  4. homework assignment, submission, and grading;
  5. Guardian access to a linked Student’s attendance, marks, and homework;
  6. messaging and support ticketing between Schools and EduFokam; and
  7. a progressive web application that may be installed on supported devices and may provide limited offline access for supported roles.

2.3 The features and functionality available to a School may depend on the School’s account, subscription status, User role, device, or other technical requirements of the Service.

2.4 EduFokam reserves the right to add, modify, suspend, or remove features or functionality of the Service at its discretion.

2.5 Where a change materially affects existing functionality of the Service, EduFokam will use reasonable efforts to notify affected Schools of the change.

2.6 EduFokam does not guarantee that any particular feature or functionality will remain available indefinitely, unless otherwise expressly agreed in writing between EduFokam and the School.

3. Eligibility and Registration

3.1 Who May Register

The Service is intended for use by schools, educational institutions, their authorized staff, students, and students’ parents or guardians through a School’s account.

A School may register for the Service only through an authorized adult representative of the School, such as a Principal, proprietor, administrator, or another person with authority to act on behalf of the School.

By registering a School, the registering representative confirms that they have the authority to register the School and to accept these Terms and Conditions on the School’s behalf.

3.2 Student and Guardian Accounts

Student, Teacher, and Guardian Accounts are created or authorized by the School, typically through the Principal or another authorized School representative, using the information provided by the School.

The School is responsible for ensuring that the information it provides for the creation of Student, Teacher, and Guardian Accounts is accurate and that it has the necessary authority to provide such information to EduFokam.

Where a School creates or authorizes an Account for a minor Student, the School represents that it has obtained any consent or authorization required under applicable law from the Student’s parent or legal guardian and has the authority to enroll the Student in the Service and permit EduFokam to process the Student’s information in accordance with these Terms and the Privacy Policy.

3.3 Account Security

Each User is responsible for maintaining the confidentiality and security of their login credentials and for all activities carried out through their Account.

Schools are responsible for promptly disabling or requesting the disabling of Accounts belonging to staff members, students, guardians, or other Users who are no longer authorized to access the Service, including where a Teacher leaves the School or a Student withdraws from the School.

The School must promptly notify EduFokam if it becomes aware of, or reasonably suspects, unauthorized access to a School Account or any other security incident affecting the Service.

Users must not share their login credentials with unauthorized persons or permit another person to use their Account.

EduFokam may take reasonable measures to protect the security of Accounts and the Service where unauthorized access or other security risks are suspected.

4. Roles and Administrative Access

4.1 Role-Based Access

The Service uses role-based access controls to manage the permissions and functions available to different Users and administrators. The roles within the Service include:

  1. Developer — an EduFokam-controlled platform administrator responsible for the technical administration and operation of the Service;
  2. Principal — the authorized representative or administrator of a School who is responsible for managing the School’s account and its Users;
  3. Teacher — a School-authorized User who may access and perform teaching and academic functions assigned to the Teacher role;
  4. Student — a User enrolled or otherwise authorized by a School to access the Service for student-related purposes;
  5. Guardian — a parent or legal guardian authorized by the School to access information relating to a linked Student; and
  6. Team Member — an authorized member, employee, officer, adviser, or representative of EduFokam who is assigned specific administrative, financial, legal, customer-support, technical, or other functions in connection with the operation or support of the Service.

4.2 Developer Account

Developer Accounts are controlled by EduFokam and are used for the administration and operation of the Service.

A Developer Account may be used for functions including:

  1. provisioning and administering School trials;
  2. verifying payments;
  3. issuing Subscription Tokens;
  4. providing customer support and technical assistance; and
  5. performing other technical or administrative functions necessary for the operation, security, and maintenance of the Service.

4.3 Team Member Access

EduFokam may authorize Team Members to access the Service where such access is reasonably necessary for them to perform their assigned duties.

The level of access granted to a Team Member shall depend on the nature of their role and responsibilities. A Team Member must not access School information beyond what is reasonably necessary for their assigned duties.

Team Members are subject to EduFokam’s internal policies and confidentiality obligations and must comply with these Terms and the Privacy Policy when performing functions involving the Service.

4.4 Administrative Access

EduFokam’s Developer and authorized Team Members may access a School’s tenancy only where reasonably necessary to operate, secure, support, maintain, or troubleshoot the Service, and in accordance with the Privacy Policy.

Administrative access does not transfer ownership of School Data to EduFokam. School Data remains subject to the ownership and use provisions set out in these Terms.

4.5 School Responsibility for User Access

The School is responsible for managing the access of its Principals, Teachers, Students, Guardians, and other School-authorized Users.

The School must ensure that individuals who are no longer authorized to access the Service have their access removed or disabled promptly.

5. Free Trial

5.1 Trial Period

New Schools may receive a free trial of the Service for a period of seven (7) days beginning from the date of registration, unless otherwise stated by EduFokam at the time of registration.

5.2 Trial Access

During the trial period, the School may access the Service and its available features subject to any limitations or restrictions that EduFokam may apply to trial accounts.

EduFokam does not guarantee that every feature or functionality of the Service will be available during the free trial.

5.3 Expiration of Trial

At the end of the seven (7) day trial period, the School must activate its account with a valid Subscription Token in order to continue accessing the paid Service.

If the School has not been activated with a valid Subscription Token when the trial expires, the School’s account may be placed in a restricted “trial expired” state.

5.4 School Data Following Trial Expiration

The expiration of a School’s free trial does not, by itself, result in the deletion of the School Data.

School Data will be handled in accordance with the applicable data retention and deletion provisions of these Terms and the EduFokam Privacy Policy.

6. Subscription, Fees, and Payment

6.1 Subscription Fee

Access to the paid features of the Service is subject to an annual subscription fee of one United States Dollar (US$1.00) per Student.

The subscription fee applies for one academic year. The total subscription fee payable by a School shall be calculated based on the number of Students registered under the School’s Account for that academic year.

For example, a School with three hundred (300) Students will pay US$300 for the applicable academic year.

6.2 Payment and Activation

Paid access to the Service is activated manually.

A School must make payment through the payment channel or channels designated by EduFokam and provide proof of payment where required. EduFokam will review and verify the payment before activating the School’s paid subscription and issuing a Subscription Token.

A School’s access to the paid features of the Service will remain restricted until the payment has been confirmed and a valid Subscription Token has been issued and applied to the School’s Account.

6.3 Subscription Period and Renewal

A subscription is valid for one academic year beginning on the date on which the School’s paid subscription is activated, unless otherwise agreed in writing by EduFokam.

A School wishing to continue using the paid Service must renew its subscription for the next academic year.

EduFokam will send a renewal reminder to the School two (2) weeks before the expiration of its subscription. The reminder is provided as a courtesy and does not relieve the School of its responsibility to renew its subscription on time.

6.4 No Automatic Recurring Billing

The Service does not currently charge a stored payment method automatically.

Each renewal requires the School to make the applicable payment and, where required, submit proof of payment for verification by EduFokam.

6.5 Changes to Subscription Fees

EduFokam may change the subscription fee from time to time.

Any change to the subscription fee will apply to a subsequent academic year and will not change the fee already paid for the current academic year.

EduFokam will provide reasonable notice of any change to the subscription fee before the change takes effect.

6.6 Refunds

Unless otherwise required by applicable law or expressly agreed by EduFokam in writing, subscription fees paid for an academic year are non-refundable.

6.7 Payment Records

EduFokam may maintain records of payments and payment confirmations for administrative, accounting, verification, and legal purposes.

The School is responsible for ensuring that payment information and proof of payment submitted to EduFokam are accurate and genuine.

7. School and User Responsibilities; Acceptable Use

7.1 General Responsibilities

Schools and Users must use the Service responsibly and in accordance with these Terms and Conditions and all applicable laws and regulations.

The School is responsible for ensuring that its Users are authorized to access the Service and for ensuring that the Service is used only for legitimate school-related purposes.

7.2 Prohibited Uses

Schools and Users must not:

  1. use the Service for any unlawful purpose or in violation of any applicable education, data-protection, or child-safety law;
  2. upload, submit, or transmit any content that is unlawful, defamatory, harassing, hateful, sexually explicit, or that infringes another person's intellectual property or privacy rights;
  3. upload, submit, or transmit malware, malicious scripts, or files designed to disrupt, damage, interfere with, or gain unauthorized access to the Service or another User's data;
  4. attempt to access another School's account or tenancy, another User's Account, or any Developer function without proper authorization;
  5. circumvent, disable, interfere with, or attempt to bypass security-related features of the Service, including access controls and security scanning mechanisms;
  6. scrape, copy, reverse-engineer, reproduce, modify, distribute, or resell the Service without EduFokam's prior written consent;
  7. use the Service to impersonate another person or misrepresent the identity or authority of a User;
  8. knowingly submit false, misleading, or fraudulent information through the Service;
  9. deliberately manipulate or misrepresent enrollment, staffing, attendance, marks, grades, or other academic information for the purpose of defrauding or misleading a third party, including a government authority or accrediting body; or
  10. use the Service in any manner that could interfere with its operation, security, availability, or use by other Schools or Users.

7.3 Accuracy of School Information

The School is responsible for the accuracy and completeness of information that it or its authorized Users submit to or maintain through the Service, including student names, grades, marks, attendance records, and other School Data.

EduFokam is not responsible for errors, omissions, or inaccuracies in information entered or submitted by the School or its Users.

7.4 Staff and User Training

The School is responsible for providing its staff and Users with appropriate guidance or training regarding the proper use of the Service, including the protection of login credentials and the appropriate handling of School Data.

7.5 Compliance with Applicable Obligations

The School is responsible for complying with the education-sector, data-protection, child-safety, and other legal or regulatory obligations applicable to the School in connection with its use of the Service.

Nothing in these Terms transfers the School's legal responsibilities to EduFokam.

7.6 Enforcement

EduFokam may take reasonable action where it becomes aware of a violation of this Section, including restricting or suspending access to the Service where necessary to protect the Service, its Users, or other Schools, subject to the suspension and termination provisions of these Terms.

8. School Data; Ownership and License

8.1 Ownership of School Data

As between the School and EduFokam, the School retains ownership of and all applicable rights in its School Data.

Nothing in these Terms transfers ownership of School Data from the School to EduFokam.

8.2 License to EduFokam

The School grants EduFokam a limited, non-exclusive license to host, store, process, transmit, and display School Data to the extent reasonably necessary to:

  1. provide the Service to the School and its authorized Users;
  2. maintain and operate the Service;
  3. secure and protect the Service;
  4. provide technical and customer support; and
  5. perform other activities expressly permitted under these Terms or the Privacy Policy.

This license will apply for as long as the School uses the Service and for any additional period during which EduFokam is permitted or required to retain School Data under these Terms, the Privacy Policy, or applicable law.

8.3 Restrictions on Use of School Data

EduFokam will not sell School Data to third parties.

EduFokam will not use School Data to train third-party products.

EduFokam will not use School Data for purposes unrelated to providing, maintaining, securing, or improving the Service, except where:

  1. required by applicable law or a lawful order of a competent authority; or
  2. the School has separately authorized such use.

8.4 Responsibility for School Data

The School remains responsible for the School Data that it and its Users submit to or generate through the Service, including ensuring that the School has the necessary rights, authority, and permissions to provide such information for processing through the Service.

8.5 Data Protection

EduFokam's processing of School Data is also governed by the EduFokam Privacy Policy, which forms part of these Terms by reference.

The respective responsibilities of EduFokam and the School concerning the processing and protection of personal information are further addressed in the Privacy Policy.

9. Uploaded Content and Security Scanning

9.1 Uploaded Content

The Service allows Users to upload certain files and content, including homework attachments, assignment submissions, profile photographs, School logos, and other materials permitted by the Service (collectively, “Uploaded Content”).

9.2 Security Scanning

To help protect the Service and its Users, Uploaded Content may be automatically scanned for known security threats or potentially harmful content before being stored or made available through the Service. Such scanning may include checks for embedded scripts, macros, active content, malware patterns, or other known security risks.

9.3 Rejection of Harmful Content

If Uploaded Content fails the applicable security checks, EduFokam may reject, quarantine, or prevent the storage or delivery of that content. Information relating to a rejected file may be recorded for security, troubleshooting, and system-protection purposes.

9.4 Limitations of Security Scanning

Security scanning is intended as a protective measure only. EduFokam does not guarantee that all Uploaded Content will be free from viruses, malware, malicious code, or other security threats. Schools and Users remain responsible for exercising appropriate care when uploading or accessing files through the Service.

9.5 Responsibility for Uploaded Content

The School and its Users are responsible for the content they upload to the Service and for ensuring that they have the necessary rights and permissions to upload and use such content. EduFokam is not responsible for harm or loss resulting from malicious, corrupted, or otherwise harmful content uploaded by a School or User, to the extent permitted by applicable law.

9.6 Access to Uploaded Files

Uploaded files are not intended to be directly accessible through a public web address. Where technically applicable, files are served through the Service only after the requesting User’s access and authorization have been verified.

10. Intellectual Property

10.1 EduFokam Intellectual Property

The Service, including its software, source code, object code, design, layout, functionality, text, graphics, logos, trademarks, service names, and other materials provided by EduFokam or its licensors, is owned by or licensed to EduFokam and is protected by applicable intellectual property laws.

10.2 Limited Right to Use

Subject to these Terms and the School’s applicable subscription, EduFokam grants the School a limited, non-exclusive, non-transferable, and revocable right to access and use the Service for the School’s internal educational and administrative purposes.

No ownership or other intellectual property rights in the Service are transferred to the School under these Terms.

10.3 Restrictions

Except where expressly permitted by these Terms or applicable law, the School and its Users must not:

  1. copy, reproduce, modify, or create derivative works of the Service;
  2. reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying structure of the Service;
  3. distribute, resell, sublicense, lease, or otherwise make the Service available to third parties outside the School’s authorized use;
  4. remove or alter copyright, trademark, or other proprietary notices contained in the Service; or
  5. use EduFokam’s intellectual property without prior authorization.

10.4 School Names, Logos, and Marks

The School retains its rights in its name, logo, trademarks, and other materials that it uploads or provides to EduFokam. Nothing in these Terms transfers ownership of those materials to EduFokam.

The School grants EduFokam permission to use such materials only as reasonably necessary to provide, operate, and support the Service, subject to these Terms and the Privacy Policy.

11. Third-Party Services

11.1 Use of Third-Party Services

EduFokam may use third-party service providers to support the operation and delivery of the Service. These providers may include hosting providers, email and communication services, payment-verification services, security services, and other infrastructure or technology providers.

11.2 Third-Party Service Providers

Third-party service providers may process or handle information or technical data as necessary to provide the services they are engaged to provide. Their handling of information will be subject to applicable agreements, policies, and legal requirements, including the EduFokam Privacy Policy where applicable.

11.3 Third-Party Availability

EduFokam is not responsible for interruptions, failures, delays, or other problems caused solely by a third-party service provider or infrastructure outside EduFokam’s reasonable control.

11.4 Reasonable Efforts

EduFokam will make commercially reasonable efforts to use reputable third-party providers and to address material service disruptions that affect the Service where reasonably possible.

11.5 Changes to Third-Party Providers

EduFokam may change, replace, or discontinue the use of a third-party service provider where reasonably necessary to operate, maintain, secure, or improve the Service.

12. Suspension and Termination

12.1 Suspension of Access

EduFokam may temporarily suspend the School’s or a User’s access to the Service where reasonably necessary to:

  1. address a material breach of these Terms;
  2. comply with a legal or regulatory requirement;
  3. protect the security, integrity, or availability of the Service;
  4. prevent unauthorized access or suspected misuse of the Service; or
  5. address non-payment, an expired subscription, or an invalid Subscription Token.

12.2 Notice of Suspension

Where access is suspended, EduFokam will provide the School with a notice explaining the reason for the suspension. The notice may state, as applicable, that the suspension resulted from non-payment, security concerns, suspected unauthorized access, or another reason permitted under these Terms.

12.3 Termination by EduFokam

EduFokam may terminate the School’s access to the Service where:

  1. the School materially breaches these Terms;
  2. continued provision of the Service would violate applicable law or create a significant security or legal risk;
  3. the School’s subscription expires or payment remains outstanding; or
  4. termination is otherwise reasonably necessary to protect EduFokam, the Service, or other Users.

12.4 Termination by the School

The School may decide not to renew its subscription and discontinue its use of the Service upon expiry of its subscription.

12.5 Export of School Data During Active Access

Where the School continues to have access to the Service, it may use the available data-export functionality to export its School Data before its access expires or is terminated.

12.6 Access for Data Export After Expiry

If the School’s subscription has expired and the School decides not to continue its subscription with EduFokam, the School may request temporary access to the Service solely for the purpose of accessing and exporting its School Data.

To obtain such access, the School must pay an amount equal to one-third (1/3) of the subscription fee applicable to the School for the relevant academic year within five (5) working days of its subscription expiry.

Upon receipt of the required payment, EduFokam will provide the School with access for the purpose of exporting its School Data, subject to any applicable technical limitations and the procedures communicated by EduFokam.

12.7 Effect of Termination

Upon termination or expiry of the School’s subscription:

  1. access to the Service may be disabled;
  2. School Users may no longer be able to access the School’s account or School Data through the Service; and
  3. School Data will be retained, deleted, or de-identified in accordance with the EduFokam Privacy Policy and applicable legal requirements.

12.8 Data After Termination

Following termination or expiry, EduFokam may retain School Data for the period and purposes described in the Privacy Policy, including where retention is necessary to comply with legal obligations, resolve disputes, enforce these Terms, or protect the security and integrity of the Service.

After the applicable retention period, School Data will be deleted or de-identified in accordance with the Privacy Policy, unless continued retention is required or permitted by applicable law.

12.9 Survival

Any provisions of these Terms that by their nature are intended to continue after termination will remain in effect, including provisions relating to intellectual property, limitations of liability, indemnification, dispute resolution, and any other rights or obligations that are intended to survive termination.

13. Disclaimers

13.1 Service Provided “As Is”

The Service is provided on an “as is” and “as available” basis, to the maximum extent permitted by applicable law.

13.2 No Implied Warranties

Except where expressly stated in these Terms, EduFokam makes no representations or warranties, whether express, implied, statutory, or otherwise, regarding the Service, including any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement, to the extent such warranties may be excluded under applicable law.

13.3 Availability and Performance

EduFokam does not guarantee that the Service will:

  1. be available at all times or without interruption;
  2. be completely free from errors, defects, or delays; or
  3. be completely secure or protected from every possible security threat.

13.4 Responsibility for Use

The School and its Users are responsible for their use of the Service and for ensuring that their use complies with these Terms and applicable laws.

13.5 No Guarantee of Particular Results

EduFokam does not guarantee that the Service will meet every specific requirement of the School or produce any particular educational, administrative, financial, or other result.

Nothing in these Terms excludes or limits any warranty, representation, liability, or right that cannot lawfully be excluded or limited under applicable law.

14. Limitation of Liability

14.1 Exclusion of Certain Damages

To the maximum extent permitted by applicable law, EduFokam will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to the Service or these Terms.

This includes, without limitation, loss of profits, revenue, business opportunities, goodwill, or data, even where EduFokam has been advised of the possibility of such damages.

14.2 Limitation of Liability

To the maximum extent permitted by applicable law, EduFokam’s total aggregate liability arising out of or relating to the Service or these Terms will not exceed the total fees actually paid by the School to EduFokam during the previous academic year immediately preceding the event giving rise to the claim.

14.3 Exceptions to the Limitation of Liability

The exclusions and limitation of liability set out in this Section will not apply to:

  1. fraud or fraudulent misrepresentation by EduFokam;
  2. intentional misconduct or wilful wrongdoing by EduFokam; or
  3. any liability that cannot lawfully be excluded or limited under applicable law.

14.4 Application of Limitations

Except for the matters expressly excluded under Section 14.3, the limitations and exclusions in this Section apply regardless of the legal theory on which a claim is based, including contract, tort, negligence, or otherwise, and regardless of whether EduFokam was informed of the possibility of the relevant loss or damage.

Nothing in these Terms excludes or limits any right, remedy, warranty, or liability that cannot lawfully be excluded or limited under applicable law.

15. Indemnification

15.1 Indemnification by the School

The School agrees to indemnify, defend, and hold harmless EduFokam, its officers, employees, representatives, and authorized Team Members from and against any third-party claims, actions, proceedings, damages, liabilities, losses, costs, and reasonable expenses, including reasonable legal fees, arising out of or relating to:

  1. the School’s or its Users’ breach of these Terms;
  2. School Data or other content submitted, uploaded, or otherwise provided by the School or its Users through the Service;
  3. the School’s or its Users’ unlawful use of the Service; or
  4. the School’s failure to obtain any consent, authorization, or permission required by applicable law in connection with the collection, submission, or use of information through the Service.

15.2 Notice of a Claim

EduFokam will, where reasonably practicable, notify the School of any third-party claim for which it seeks indemnification under this Section. The School will reasonably cooperate with EduFokam in responding to the claim.

15.3 Settlement

The School will not settle or resolve an indemnified claim in a manner that admits wrongdoing by, imposes obligations on, or otherwise materially affects the rights of EduFokam without EduFokam’s prior consent.

15.4 Limitations

The School’s obligations under this Section apply only to the extent that the relevant claim results from a matter for which the School is responsible under these Terms.

Nothing in this Section requires the School to indemnify EduFokam for claims arising solely from EduFokam’s fraud, intentional misconduct, or other conduct for which EduFokam is legally responsible.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms and the relationship between EduFokam and the School will be governed by and interpreted in accordance with the laws of the Republic of Liberia.

16.2 Good-Faith Resolution

The School and EduFokam will first attempt to resolve any dispute, claim, or disagreement arising out of or relating to these Terms or the Service through good-faith discussions.

16.3 Arbitration

If the parties are unable to resolve a dispute through good-faith discussions, the dispute will be submitted to arbitration in the Republic of Liberia.

The arbitration will be conducted by one independent and impartial arbitrator in accordance with the UNCITRAL Arbitration Rules, as applicable.

16.4 Appointment of the Arbitrator

The parties will attempt to mutually agree upon the appointment of a sole arbitrator.

If the parties cannot agree on the arbitrator within thirty (30) days after one party has proposed an arbitrator to the other party, the arbitrator will be appointed in accordance with the applicable UNCITRAL Arbitration Rules.

The appointed arbitrator must be independent and impartial.

16.5 Binding Decision

The decision and award of the arbitrator will be final and binding on both EduFokam and the School, subject to any rights of review, challenge, or enforcement available under applicable law.

16.6 Arbitration Costs

Unless the arbitrator determines otherwise, the costs and expenses of the arbitration will be allocated between the parties in accordance with the applicable UNCITRAL Arbitration Rules and the circumstances of the dispute.

16.7 Urgent or Interim Relief

Nothing in this Section prevents either party from seeking urgent or interim relief from a competent court where such relief is reasonably necessary to protect its rights, confidential information, intellectual property, or the security of the Service.

16.8 Continued Obligations During a Dispute

Unless otherwise required by law or directed by the arbitrator or a competent court, the existence of a dispute will not automatically prevent either party from continuing to perform its obligations under these Terms.

17. Changes to These Terms

17.1 Right to Modify

EduFokam may update or modify these Terms from time to time to reflect changes to the Service, applicable laws, business practices, security requirements, or other operational needs.

17.2 Notice of Material Changes

Where a change is material, EduFokam will provide the School with reasonable notice before the change takes effect. Notice may be provided by email, through the Service, or by another reasonable means of communication.

17.3 Effective Date

The updated Terms will become effective on the date specified in the notice. Where no effective date is specified, the updated Terms will become effective when they are published through the Service.

17.4 Acceptance of Updated Terms

The School’s continued access to or use of the Service after the updated Terms become effective constitutes acceptance of the revised Terms.

17.5 School’s Right to Discontinue Use

If the School does not agree with a material change to these Terms, it may discontinue its use of the Service. Any applicable rights and obligations relating to termination, payment, and School Data will continue to apply.

18. Miscellaneous

18.1 Governing Law

These Terms, and any dispute arising out of or relating to these Terms or the Service, will be governed by and interpreted in accordance with the laws of the Republic of Liberia, as further provided in Section 16 of these Terms.

18.2 Entire Agreement

These Terms, together with the EduFokam Privacy Policy and any other documents expressly incorporated into these Terms, constitute the entire agreement between EduFokam and the School regarding the School’s use of the Service and replace any prior agreements, understandings, or communications relating to the same subject matter.

18.3 Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable, where permitted by law. If it cannot be made enforceable, it will be severed from these Terms without affecting the validity and enforceability of the remaining provisions.

18.4 Assignment

The School may not assign, transfer, or otherwise dispose of its rights or obligations under these Terms without EduFokam’s prior written consent.

EduFokam may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, sale of assets, or other transfer of its business, provided that such transfer does not materially reduce the School’s rights under these Terms.

18.5 Force Majeure

EduFokam will not be liable for any failure or delay in performing its obligations under these Terms where the failure or delay results from circumstances beyond its reasonable control, including natural disasters, war, civil unrest, government actions, internet or telecommunications failures, power outages, cyberattacks, epidemics, or failures of third-party infrastructure.

EduFokam will make reasonable efforts to resume the affected Service as soon as reasonably practicable.

18.6 No Waiver

A failure or delay by either party to exercise any right or remedy under these Terms will not constitute a waiver of that right or remedy. A waiver will be effective only if expressly made in writing.

18.7 Notices

Where these Terms require EduFokam to provide notice to the School, notice may be provided through the email address associated with the School’s Account, through the Service, or by another reasonable electronic method.

The School is responsible for ensuring that its contact information remains accurate and up to date.

18.8 No Partnership or Agency

Nothing in these Terms creates or constitutes a partnership, joint venture, employment relationship, or agency relationship between EduFokam and the School. Neither party has authority to bind the other except as expressly provided in these Terms.

18.9 Headings

Section headings are included for convenience only and do not affect the interpretation of these Terms.

19.1 Contacting EduFokam

If you have any questions, concerns, requests, or notices relating to these Terms or the Service, you may contact EduFokam through the contact form available on the EduFokam website or through the official EduFokam support or legal contact provided by EduFokam.

19.2 Official Communications

EduFokam may use the contact information associated with the School’s Account to communicate with the School regarding the Service, including matters relating to subscriptions, account security, suspension, termination, updates to these Terms, and other important service-related matters.

19.3 Keeping Contact Information Updated

The School is responsible for ensuring that the contact information associated with its Account is accurate and up to date. EduFokam will not be responsible for a failure to receive a communication where the School has provided inaccurate or outdated contact information.
